Technology Submission Release

I would like to interest DFB PHARMACEUTICALS, INC. ("DFB") and its "Affiliated Companies" (HEALTHPOINT, LTD.; DPT LABORATORIES, LTD.; and DPT LAKEWOOD, INC.) in the ideas or technology I am submitting. Consequently, I agree to the following conditions as required by DFB.

1. My submission is voluntarily submitted, and I agree that the submission is nonconfidential and may be revealed to third parties by DFB and its Affiliated Companies.
   
   
2. By reviewing any ideas or information submitted, no contractual or confidential relationship or obligation is either established or implied between DFB, its Affiliated Companies, and me.
   
   
3. I agree to release DFB and its Affiliated Companies from any present or future liability with respect to my ideas or information, including, without limitation, any liability arising out of the use or non-use thereof, or the disclosure thereof to any third party, except

   (i) as may accrue under any subsequent written agreement, or

   (ii) with respect to the infringement of any valid patent or patents now or hereafter issued.

4. I agree to rely wholly upon the rights derived from any issued patent and the claims defined therein. For any submission covered by a pending or provisional patent application, I agree to rely wholly upon any rights granted by the laws of the countries in which the patent or application was filed. Moreover, to the extent that any submission is not covered by an issued patent or a pending or provisional patent application, I agree that any compensation for the use of such a submission will be at the sole discretion of DFB and its Affiliated Companies.

5. I warrant that I have the full and unconditional right to disclose the ideas or information being submitted.

6. I also warrant that I have the entire right, title, and interest in and to the ideas or information submitted, and that no monies from other persons or organizations were used in the conception or development of the ideas or information submitted. In the event that some other party does have an interest in the ideas or information submitted, or funded their conception or development, I warrant that I have fully disclosed the identity of any such party on the DFB "Technology Submission Form."

7. I agree to complete and submit the DFB Technology Submission Release within five (5) business days of this submission.

8. I agree that DFB and its Affiliated Companies are under no obligation to return any of the submitted materials to me.

9. I understand that this is the entire and only understanding or agreement between DFB, its Affiliated Companies, and me. I also understand that neither this agreement nor any of the conditions it contains may be modified or waived.

10. I agree that the conditions in this Technology Submission Release shall apply to any additional disclosures I make relative to this submission that occur in the absence of a properly executed confidentiality agreement between DFB, its Affiliated Companies, and myself.

11. I agree that all of the above conditions should be broadly construed.
